Partner agreement.

The present Agreement contains full conditions and rules of Intexchange.com Partner Program participation. Your consent to join the program means your acceptance of all conditions of this agreement.

Partner Program description.

Program Participant attracts Visitors to web-site Intexchange.com by placing Partner links on his site. For the participation in partner Program the partner remuneration is paid according to the Level of the Participant.

Web-sites that are not accepted in Partner Program:

- the site content is in conflict with Russian Federation legislation;

- the site contains drug or violence popularization or unprintable words;

- the site contains serial numbers to programs, program protection cracks or any programs in any way violating program developers copyright;

- the sites containing «adult materials» (pictures, texts, mailing lists, links, «fun», call girls service announcements etc.);

Partner Identificator activation.

To join the Program, it is necessary to register.

After the registration the Participant receives inactivated Partner Identificator. Partner Identificator activation is made automatically at the moment of the first visitor registration that fulfilled “Coming to the site by click".

Registration in Partner Program and Partner Identificator activation are made automatically without Program Administrator participation. Participant-Owner of the web-site is made responsible for the conformity of the site with the conditions of Intexchange.com Partner Program.

Partner links.

Tо provide exact calculation the Participant must use special link format recommended by Intexchange.com. The Participant must place all advertisement materials in visible part of his site only. Partner links must have static extent and must be definitely separated from the web-site menu: using non-typical text links it is necessary to indicate Intexchange.com over Partner links marking the partner block by colour that notably differs from the Participant web-site background.

Partner links content must not mislead the visitors and/or defeat their expectancies, it must definitely indicate the Intexchange.com scope of activity.

The participant is obliged to integrate html-code of Partner link on his web-site pages fully and without change. Using HTML-code variants that differ from the standard Intexchange.com administration does not guarantee correct statistics calculation and workability of the code - the claims as to the incorrect statistics and errors in the work of the code are not accepted in this case.

Placing Partner links elsewhere in the Internet including banner network accounts any type of dynamic advertisement, on free public bulletin boards and Conferences (Forums) in the Internet, in mailing lists, software like AdWare etc can be done only at prior notifying the Program Administrator about it and in the absence of objection on the part of Program Administrator within 5 days since the Participant notification was received.

Every banner of Intexchange.com, must be separated by informative part of the page from any other advertisement blocks.

Placing the partner links on the main (index) page of the Participant web-site is compulsory.

It is forbidden:

- to place partner links and banners on the pages with banners and text advertisement of sites with porn and erotic content;

- to use site page code influencing the displaying of the banner (visual filters for IE, placing graphic materials in the block of smaller dimensions etc)

- to encourage visitors to click on the partner link ("click on this banner", "support our site" etc.);

- to place the partner code link on web-pages that automatically reboot and/or open Intexchange.com web-pages without interaction with the user;

- to place partner code link on web-pages that do not have meaningful content (separate page or banner frame);

-artificial increase of clicks on partner links (program emulators, visitorship services, САР or any systems with Ref-ID);

- to place partner code link in frames (without exception);

Remuneration for Unique Visitor.

Remuneration adding is made at the moment of registration "Coming to the site by click" of the Participant visitor. Remuneration adding for Unique Visitor will NOT be made if the IP of the visitor is in the list of daily unique IP (nulling takes place every 24 hours). The sum of remuneration for each Unique Visitor is fixed and corresponds to the remuneration set for the Participant Level.

Agreement denunciation (Removal from the Program).

Currency of the Partner Agreement starts since the moment of Partner Registration in the Partner Program and finishes at the moment of Agreement denunciation.

Any Party can dissolve the Agreement in a one-sided manner by notifying the other Party in written form.

Intexchange.com has a right to dissolve the Agreement in a one-sided manner and delete Partner Identificator without paying the Participant the saved remuneration in the following cases:

- The partner violates any of the conditions of the present Partner Agreement. Partner Identificator will be deleted within 30 days after blocking his access to Personal Cabinet with prior automated notification of the Participant 10 days before it happens.

- If the Identificator given to the Participant is not activated within 5 days since the date of registration.

- During the last 30 calendar days the calculation and statistics system has not recorded visits from Participant web-site. The Participant will be sent a prior automated notification 10 days before this deletion takes place.

In case the present Agreement is dissolve for any other reason, Intexchange.com id obliged to pay the Participant the saved remuneration according to the Partner Agreement.

In case of Agreement termination both Parties are obliged to remove all links to one another and stop using names, logos, trade marks of the other Party within 5 days since the moment of Agreement termination.

Intexchange.com Administration has a right to change the participation conditions of the Participant (Change the Level) or block his access to his Personal Cabinet at any time and without indicating the reasons if the Participant’s web-site participation does not meet the rules and conditions of Partner Program.
